By accessing or using the services of Level UP VIP ("Company," "we," "us," or "our") at LevelUpVIP.online, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
2Our Services
Level UP VIP provides website design, hosting, digital marketing, and related services (collectively, the "Services") tailored for Bahamian businesses. Our service tiers — Launch, Ascend, Authority, and VIP Elite — are described in detail on our website, with features and pricing subject to the plan selected at time of purchase.
2.1 Service Availability
We strive to maintain 99.9% uptime for hosting services. Scheduled maintenance, third-party outages, or circumstances beyond our control may result in temporary unavailability. We are not liable for downtime caused by external factors.
2.2 Service Changes
We reserve the right to modify, suspend, or discontinue any service with reasonable notice. We will provide at least 30 days' notice for material changes to pricing or core service features.
3Accounts & Registration
- You must provide accurate, current, and complete information when creating an account
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activity that occurs under your account
- You must be at least 18 years of age to use our services
- Notify us immediately of any unauthorized use of your account
4Payment Terms
4.1 Billing
Services are billed monthly or annually depending on your selected plan. All prices are displayed in USD. Payments are processed automatically on the billing cycle start date.
4.2 Late Payments
Accounts with failed payments will receive a 5-day grace period. If payment is not received within 7 days, services may be suspended. Services will be restored within 24 hours of successful payment resolution.
4.3 Price Changes
We will provide 30 days' written notice before increasing prices. Continued use of services after the notice period constitutes acceptance of the new pricing.
4.4 Taxes
Prices do not include applicable taxes. You are responsible for any taxes, duties, or other government charges applicable to your purchase.
5Acceptable Use Policy
You agree NOT to use our services to:
- Host, transmit, or distribute illegal, harmful, or offensive content
- Infringe upon intellectual property rights of any third party
- Send spam, unsolicited emails, or engage in phishing
- Distribute malware, viruses, or malicious code
- Conduct fraudulent activities or misrepresent your identity
- Violate the privacy of others or collect personal data without consent
- Engage in activities that disrupt or degrade our services or servers
- Violate any applicable local, national, or international laws or regulations
Violation of this policy may result in immediate termination of services without refund.
6Intellectual Property
6.1 Our Content
All content on LevelUpVIP.online, including but not limited to text, graphics, logos, and software, is the property of Level UP VIP and is protected by applicable intellectual property laws.
6.2 Your Content
You retain ownership of content you provide to us. By providing content, you grant us a limited license to use, store, and display it solely for the purpose of delivering our services to you.
6.3 Website Deliverables
Upon full payment of all outstanding amounts, you own the website content created for you. However, themes, plugins, and proprietary code frameworks remain licensed to us or their respective original owners.
7Domain Names
Domain names registered through our services are registered in your name. You own your domain. Domain registration fees are non-refundable after registration. You are responsible for renewing your domain before expiration to avoid loss of the domain.
8Limitation of Liability
To the maximum extent permitted by law, Level UP VIP shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from unauthorized access to your account
- Damages from third-party content or services
- Service interruption beyond our reasonable control
Our total liability for any claim shall not exceed the total amount paid by you to us in the 3 months preceding the claim.
9Disclaimer of Warranties
Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
10Indemnification
You agree to indemnify, defend, and hold harmless Level UP VIP and its officers, directors, employees, and agents from any claims, damages, losses, or liabilities arising from: (a) your use of the services; (b) your violation of these Terms; or (c) your violation of any third-party rights.
11Termination
11.1 By You
You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of your current billing cycle. See our Refund Policy for refund eligibility details.
11.2 By Us
We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, we will provide you with your website files within 30 days.
12Governing Law
These Terms shall be governed by and construed in accordance with the laws of The Commonwealth of The Bahamas. Any disputes shall be subject to the exclusive jurisdiction of the courts of The Bahamas.
13Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 14 days before taking effect. Continued use of services after that date constitutes acceptance.
